Terms of Service
Effective September 4, 2026 · Toneeto, PBC
The short version
neegotiate gives a seller an AI agent that talks to buyers, negotiates price and terms inside rules the seller sets, and brings the seller the deal, or closes it if the seller allows. It is free during this pilot. The agent represents the seller, and says so in its first message. Any sale is between the seller and the buyer; we are not a party to it.
1. Who we are
neegotiate is made by Toneeto, PBC, a Delaware public benefit corporation in Mountain View, California. Our charter commits us to working for the people we serve; no one can pay for placement.
2. What the service is, and isn't
For sellers: you provide a listing and private negotiation rules; the agent answers buyers from the facts you gave, takes and counters offers only inside your rules, and never reveals them. For buyers: you talk to an AI agent acting for the seller; it tells you so first. The agent never invents other buyers, deadlines, or facts about the item. We are not a marketplace, an escrow, a payment holder, or an identity service. We do not verify items, sellers, or buyers.
3. The sale is yours
An agreement reached through the agent is an agreement between seller and buyer, on the terms shown to both. Payment is cash or a peer-to-peer method at handoff unless the seller enables card payment through Stripe, in which case Stripe's terms apply to that payment. Meet in a public place, in daylight where you can, and bring help for anything heavy. We are not responsible for the item, the handoff, or either party's conduct.
4. Your account
You sign in with a code sent to your email. You must be at least 18. One account per person. Keep your codes to yourself; you are responsible for activity on your account. Sellers must own or be authorised to sell what they list, and may not list anything illegal, recalled, hazardous, counterfeit, or that they do not physically possess.
5. Acceptable use
Do not harass, deceive, or attempt to extract another user's private information, including a seller's rules. Do not use the service to sell prohibited items. We may pause or close any link or account that breaks these terms, and sellers may block a buyer at any time.
6. Text-message alerts
Sellers may opt in to SMS alerts about their listings. Message frequency varies, typically 1–10 per week while a listing is live. Message and data rates may apply. Reply HELP for help or STOP to cancel at any time. Consent is not a condition of using neegotiate.
7. Pilot status
This is an early pilot. Features may change or disappear, the service may be interrupted or shut down, and despite our care, data could be lost. It is free; if we ever charge, we will say so clearly first.
8. Liability
The service is provided as is. To the extent the law allows, Toneeto, PBC is not liable for indirect or consequential loss, or for the outcome of any sale. Our total liability to you for anything arising from the service is limited to $100.
9. Governing law
These terms are governed by the laws of California. Disputes are resolved in the state or federal courts of Santa Clara County, California.
10. Changes and contact
We will post changes here with a new effective date. Questions: hello@neegotiate.com.
